Change to Constitution: Before you start

If the Company's Constitution or Memorandum and Articles of Association is not available for review, you need to obtain a copy before proceeding to create the documents to change the Company's constitution.

By using this service, you agree to the following conditions:

  • The company's existing Constitution or Memorandum and Articles of Association does not contain any special requirements that must be complied with before the Constitution or Memorandum and Articles of Association can be changed or replaced.
  • There are no special rights attached to shares or to the control of the company that need to be preserved.
  • The company has not agreed not to amend its constitution pursuant to an arrangements with, say, a bank, credit society or other lender.
  • The online process of changing the company's constitution through Cleardocs does not perform any of the following:
    • changing its name;
    • changing its type - for example, it can't change from a "Pty Ltd" company to a public company; or
    • converting shares from one class to another or divide shares into classes.
  • All the document package you create here will do is adopt a new constitution for the company, and provide the relevant new constitution and supporting legal documentation.
