Before you start: Public Company Limited by Guarantee

Before you start answering the online questions to order the company, we need to find out which type of "public company limited by guarantee" you are ordering. The pricing, ordering process and — most importantly — the legal implications for each type are very different. If you are not sure which type you need, then you must seek legal advice. You cannot register a "Pty Ltd" company — either "for profit" or "not-for-profit" — with this form.

How do you want to register a company limited by guarantee?

This is a "not-for-profit" company that intends to register as a charity with the additional legal rights and responsibilities of charity registration — including being exempt from paying income tax.

In order for the company to register as a charity, you will need to pay fees in addition to the Cleardocs and ASIC fees, as follows:

  • professional fees for legal advice to tailor the company's constitution to meet legal requirements;
  • charity registration fees with the ACNC; and
  • application fees for Deductible Gift Recipient (DGR) status with ATO.

This is a "not-for-profit" company that will self-assess as being exempt from paying income tax.
